Changes on the Board of Directors and Micronas Group Management

ZURICH, Switzerland, April , 2016 – Following completion of the public takeover offer by TDK Magnetic Field Sensor G.K., Tokyo, for all publicly held registered shares of Micronas Semiconductor Holding AG, changes are planned on the Board of Directors of Micronas. The CFO of Micronas Group, Daniel Wäger, will leave the company at the end of 2016.

In addition to the existing members Mrs. Stefanie Kahle-Galonske and Dr. Dieter G. Seipler, shareholders at the next ordinary Shareholders’ Meeting of Micronas Semiconductor Holding AG on May 17, 2016 will be asked to elect Mr. Shigenao Ishiguro, senior vice president and CEO of the Magnetic Heads and Sensor Business Company of TDK Corporation, Tokyo, and Mr. Keisuke Igarashi, head of the sensor planning group at the Magnetic Heads and Sensor Business Company of TDK Corporation, Tokyo, as members of the Board of Directors. Dr. Dieter G. Seipler is being proposed to shareholders as the Chairman of the Board of Directors.

The invitation to the 21st ordinary Shareholders’ Meeting of Micronas Semiconductor Holding AG with additional information and agenda is being sent to shareholders by post on April 26, 2016 and will be published in the Swiss Official Gazette of Commerce (SHAB) on April 27, 2016.

The CFO of Micronas Group, Daniel Wäger, will be leaving the company at his own request at the end of December 2016. Wäger has headed the finance department since September 2014. “Micronas and TDK very much regret his decision,” says Matthias Bopp, CEO of Micronas. “We would like to thank him for his commitment and for the work he has done to further the company’s development.”
